1)  Preamble:  should read "Nothing in these bylaws is to be construed as
to be contrary to the IEEE Bylaws, Constitution, Policy & Procedures, or
the RAB Operations Manual."

2)  Article III, Section 2, "shall hold office for one year OR until their

3)  Article III, Section 3.  According to the RAB Operations Manual,
officers are not supposed to serve for more than two years.  Now, we all
know how hard it is to get volunteers, so of course many do.  But to state
it outright in the bylaws is awkward, as it is in direct conflict with a
referenced document.

4)  Article III, Section 6.  I'm a little confused.  Is letter b. or letter
e. referring to the annual officer and meeting reports that the Secretary
is to submit to IEEE Headquarters?  To my knowledge, there are no direct
reporting requirements for the IEEE Secretary.

5)  Article VII, Section 4.  The reference to the Section Junior Past Chair
is a little confusing.  This office is not described anywhere else . . . is
there a Section Senior Past Chair?

Later in the same paragraph and in the later Articles, there are references
to "Groups" and "Group Chapters".  These references within the IEEE are
specific.  Normally the units are referred to as "Society Chapters."  We
also have a (relatively) new unit you may be familiar with called Affinity
Groups.  These are groups for one of three interests:  Graduates of the
Last Decade (GOLD), Women in Engineering (WIE), and Consultants' Networks.
Although you have no group(s) at this time, you may wish to include
something about these groups in the event that they begin forming in the
near future.
- Left the committee name Group Chapters, but changed wording significantly to change other mentions of "Group Chapters" to Society Chapters and Affinity Groups.  To find all changes, search for the text "Affinity"
 

6)  Article IX, Section 6.  You may want to note that insurance and bonding
coverage is provided by the IEEE.  Lest some future officer think this is
something y'all have to go out and buy.
